CONSTITUTION & BY-LAWS OF THE INTERNATIONAL ACADEMY OF MINI DENTAL IMPLANTS

CHAPTER 1. GENERAL PROVISIONS

   SECTION 1
NAME, MAILING ADDRESS AND OFFICIAL LANGUAGE
    1. The name shall be International Academy of Mini Dental Implants
    2. The mailing address shall be 2495 Kensington Ave. Amherst, NY  14226
    3. The official language shall be English
   SECTION II
     PURPOSE, OBJECTIVES AND ACTIVITIES
    1. The Academy is a non-profit and non-political organization and shall not discriminate against creed, race and gender
    2. The Academy shall promote the art and science in the discipline of Mini Dental Implantology
    3. The Academy shall popularize and advance the art and science and the practice of Mini Dental Implants by organizing regular meetings, lectures, workshops, seminars and Accredited courses

CHAPTER 2. MEMBERSHIP

   SECTION 1
     CLASSIFICATION OF MEMBERSHIP

The members of IAMDI shall be classified as follows:

    1. Membership
    2. Mastership
    3. Fellowship
    4. Diplomate
MEMBERSHIP

           Credentialing to Membership in IAMDI shall require the following:

      1. Be a Degree holder from a dental school or dental faculty of a University
      2. Adhere to the highest ethical standards in the practice of dentistry
      3. Have 1 day (7 hours) of Certified Mini Dental Implant Training
      4. Pay the prescribed entrance and/or annual fees
      5. Be in good standing with the legal regulatory board of the dental profession in the country of residence
      6. Regularly attend the meetings of the IAMDI
      7. Be entitled to a copy of the JIAMDI (when published)
      8. Be entitled to hold office and vote
FELLOWSHIP

  Credentialing to Fellowship to IAMDI shall require the following:

      1. Current Membership status ~ and
      2. Ten (10) case studies of denture stabilization
      3. Five (5) case studies of single or multiple teeth replacement to be presented at the Annual meeting
MASTERSHIP

  Credentialing to Mastership to IAMDI shall require the following:

      1. Current Fellowship status ~ and
      2. At least 3 full-arch reconstruction case studies utilizing either a combination of natural teeth and/or conventional implants combined with MDI’s or MDI’s entirely by themselves to be presented at the Annual meetings.
DIPLOMATE

              Credentialing to Diplomate to IAMDI shall require the following:

      1. Current Mastership status ~ and
      2. At least 8 full-arch reconstruction case studies utilizing either a combination of natural teeth and/or conventional implants combined with MDI’s or MDI’s entirely by themselves to be presented at the Annual meeting
SECTION II
   CASE STUDY REQUIREMENTs

Pre-Operative

      1. Pre-operative x-ray
      2. (6) Photos 
        1. Minimum (3) intra-oral retracted views
        2. (1) natural smile non-retracted view
        3. (2) extra oral – (1) profile and (1) frontal

Post-Operative

      1. Immediate Post-operative x-ray
      2. (6) months post-operative x-ray
      3. (6) photos
      4. Minimum (3) intra-oral retracted views
      5. (1) natural smile non-retracted view
      6. (2) extra oral – (1) profile and (1) frontal
SECTION III
   APPLICATION FOR MEMBERSHIP
    1. All applications must be accompanied by the prescribed annual fee
    2. All applications are subject to the approval of the Academy board
SECTION IV
   TERMINATION OF MEMBERSHIP
    1. Any member who has violated the by-laws of the Academy in whole or in part, or who has acted in a way which the Board of the Academy considers is contrary to the welfare and best interest of the Academy and its members, may be expelled.
      1. Such actions shall include, but not limited to, public criticism of a fellow member, dental products or manufacturers associated with mini dental implants.  NO member shall go after another member or his/her techniques or procedures, nor shall any member be critical of the treatment or care rendered by a fellow member in a public forum.  On the contrary, members shall support and defend fellow members. If a member feels a fellow member is acting in bad faith, they shall either report it to the Board or contact the member directly.  Any such violation of this section shall be grounds for automatic expulsion from the Academy.
      2. A member who is expelled from the Academy shall lose all rights and privileges of membership in the Academy and shall no longer display his/her Academy certificate or credentials.  This expulsion shall be reported immediately to the Secretary and to proper authorities outside the International Academy of Mini Dental Implants where legally applicable.
    2. Complaints shall be made in writing to the Board and the member in question shall be asked to reply to the complaints in writing.  The decision of the Board is final and is binding on all members.
    3. Membership will also terminate if the member is in arrears in dues by more than two years.  Reinstatement of members terminated because of arrears in annual dues can be considered by the Board only after the arrears and current dues are paid.
SECTION V
   MEMBERSHIP FEES

The following shall be membership fees:

      1. The annual registration fee shall be $400 

CHAPTER 3. BOARD MEMBERS

SECTION I
THE BOARD AND ITS MEMBERS
    1. The officers of the Board are:
      1. President
      2. Vice President
      3. Secretary
      4. Treasurer
      5. Director

   2.     All officers of the Board are entitled to one vote and in the event of a tie in any decision, the President shall have a casting vote

   3.     The duties of the Board are as follows:

      1. Election and expulsion and reinstatement of members
      2. Conferment of honorary membership
      3. Nominate members to any Committee which the Council deems is necessary
      4. Determine the date and venue of the annual meeting or other meetings 
      5. Revise the annual dues when it is deemed necessary
      6. Decide on the expenditure of the Academy and approve the annual financial statement prepared by the Treasurer
      7. Make recommendations and alteration to the by-laws

 4.     The meetings of the Board:

      1. The Board shall meet annually or when it is deemed necessary.  The regular functions of the Board may be conducted through mail, email or facsimile
      2. The annual meeting shall be chaired by the President.  In the President’s absence or disability, the Vice President shall preside at the meeting
      3. Minutes of the meeting will be sent to Board members after the meeting.  
      4. Any action required to be taken by the Board may be taken without a meeting.
      5. Election of the Board of Officers shall be held every five (5) years at a General Meeting.  All elected officers shall serve a term of five (5) years and will then be eligible for re-election.
      6. Any alteration of the By-Laws shall require a two-thirds majority of the Board.
      7. The resolutions of the Annual Meeting shall be recorded in the minutes which shall be signed by the Secretary of the IAMDI.
SECTION II
    OFFICERS

PRESIDENT

It shall be the duty of the President:

      1. To preside at all meetings
      2. To act as spokesperson for the IAMDI or delegate to another Board member
      3. To carry out such duties as are assigned by the Board and by any By-Laws,  resolutions and rules and regulations of the IAMDI.

VICE PRESIDENT

It shall be the duty of the Vice President:

      1. To carry out such duties as assigned by the President
      2. To act in the absence of the President 
      3. To carry out duties as are assigned by the Board and by any By-Laws, resolutions and rules and regulations of the IAMDI

TREASURER

It shall be the duty of the Treasurer:

      1. To take charge of all financial matters of the IAMDI.  He shall be responsible for the monies of the IAMDI, keep an account of the same and pay all bills approved by the Board.  The Treasurer shall keep a list of all members in the payments of dues. He shall present an official annual statement of financial affairs of the IAMDI no later than 31st of March each year.
      2. Upon vacating his office, the Treasurer shall deliver to his successor all monies, papers, books, records and other property belonging to the IAMDI that may be in his possession or for which he is responsible.

SECRETARY

It shall be the duty of the Secretary:

      1. To keep a record of the IAMDI’s meetings and of the meetings.  He shall notify members of the meetings, of nominations for memberships and similar matters.

DIRECTOR

It shall be the duty of the Director:

      1. To represent IAMDI at meetings approved by the Board
      2. To maintain an up-to-date history of IAMDI and its various activities
      3. To perform such duties and functions as directed by the President or other Officers

CHAPTER 4. MEETINGS

    1. The council shall call for a General Meeting annually, which will consist of all Officers and members of the IAMDI
    2. Members will have the chance to change their current membership status by the presentation of implant cases as according to the rules and regulations of classifications.
    3. There will be an open forum at every meeting for all members, regardless of class.

CHAPTER 5. BY-LAWS

    1. A general meeting of members shall have the power to make such By-Laws as may be deemed necessary, and provided further that due notice of at least ninety (90) days shall have been given to members
    2. In the absence of appropriate By-Laws, the Board may rely on resolutions, rules and regulations which the IAMDI has approved.

CHAPTER 6. DISSOLUTION OF THE IAMDI

    1. The dissolution of the International Academy of Mini Dental Implants shall require a four fifth (4/5) vote of the entire membership, voting individually.
    2. Any surplus funds at the date of the dissolution shall be transferred to another tax-exempt organization of the same nature.
    3. All liabilities at the date of dissolution shall be the equal responsibility of all members.
